Terms of Service

1. Agreement to Terms

By accessing or using RunSheet ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users, including company administrators, dispatchers, and drivers.

2. Description of Service

RunSheet is a cloud-based delivery route management platform. The Service allows businesses to build optimized delivery routes, dispatch drivers, track delivery status, and capture proof-of-delivery records. Additional features include recurring route scheduling, delivery analytics, customer delivery notifications, customer-facing delivery portals, driver location tracking, and programmatic API access. RunSheet is provided as a software-as-a-service (SaaS) product accessible via web browser and mobile device.

3. Account Registration

You must register for an account to use the Service. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password and API keys secure and not share them with unauthorized parties
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account, including activity by API keys and webhooks you configure

You must be at least 18 years old to create an account. Each company account may have multiple user seats as permitted by your subscription plan.

4. Subscription and Billing

Access to the Service requires a paid subscription. By subscribing, you agree to the following:

  • Subscription fees are billed monthly in advance
  • All fees are non-refundable except as required by law
  • We reserve the right to change pricing with 30 days' notice
  • Your subscription renews automatically unless cancelled before the renewal date
  • Downgrades take effect at the end of the current billing period; upgrades take effect immediately
  • Failed payments may result in service interruption or account downgrade

Subscription payments are processed by Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred.

If you enable cash-on-delivery (COD) payment collection through the platform, RunSheet uses Stripe Connect to facilitate payments between your business and your customers. You are responsible for ensuring you have a valid Stripe Connect account and for compliance with all payment processing obligations applicable to your business.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Upload or transmit malicious code, viruses, or other harmful content
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Harvest or collect information about other users without their consent
  • Use the Service for any purpose other than managing legitimate delivery operations
  • Use API keys or webhooks to exfiltrate, scrape, or redistribute data in violation of these Terms
  • Configure webhooks that target systems you do not own or are not authorized to access

6. Your Data

You retain ownership of all data you upload to the Service, including customer records, delivery records, and photos. By using the Service, you grant us a limited license to store, process, and display your data solely to provide the Service.

You are responsible for the accuracy and legality of data you submit, including ensuring you have appropriate consent from individuals whose information you upload (such as customer delivery addresses, email addresses, and phone numbers).

If you enable customer delivery notifications or customer delivery portals, you are responsible for ensuring your customers have consented to receive communications from you and for complying with applicable anti-spam and privacy laws (including CAN-SPAM, CASL, and GDPR where applicable).

7. Driver Location Data

The Service includes an optional driver location tracking feature. When enabled on a driver's device, the Service periodically collects GPS coordinates and transmits them to our servers for display to dispatchers on the active route map.

  • Location data is only collected while the driver app is in active use during a route
  • Location data is retained for up to 10 minutes in active display; it is not stored long-term
  • You are responsible for informing your drivers that their location may be tracked during active routes and for complying with any applicable labor or privacy laws regarding employee monitoring
  • Drivers consent to GPS location collection when using the driver app during an active route

8. SMS Notifications

The Service includes an optional SMS notification feature that allows you to send automated text messages to your customers regarding their deliveries. By enabling SMS notifications and providing customer phone numbers, you agree to the following:

  • You are responsible for obtaining valid consent from recipients before sending them SMS messages
  • Standard message and data rates may apply to recipients
  • Recipients may opt out at any time by replying STOP to any message sent through the Service
  • You are responsible for complying with all applicable laws governing commercial text messaging, including the TCPA (United States), CASL (Canada), and equivalent regulations in other jurisdictions
  • SMS messages are transmitted via Twilio; customer phone numbers are shared with Twilio solely to deliver messages you initiate

9. Proof of Delivery and Biometric Records

The Service may collect the following records at the point of delivery:

  • Delivery photos: Photographs taken by drivers as proof of delivery, retained per your subscription plan's history limits
  • Electronic signatures: Digital signatures captured from recipients at the point of delivery
  • Age verification photos: Photographs of government-issued identification captured for deliveries requiring age verification (e.g., alcohol, tobacco, or restricted goods)

You are solely responsible for ensuring that the collection of these records complies with applicable laws in your jurisdiction, including any laws governing the collection and storage of biometric identifiers. Age verification photos are stored securely and are only accessible to authenticated users within your account.

10. Data Sub-processors

RunSheet uses the following third-party services ("sub-processors") to deliver the Service. By using RunSheet, you acknowledge that your data may be processed by these parties:

  • Stripe — Payment processing and subscription billing
  • Twilio — SMS delivery for customer delivery notifications
  • Google — Address geocoding, route optimization, traffic data, and Google Single Sign-On (SSO) authentication
  • Anthropic — AI-powered features including proof-of-delivery photo analysis and driver note extraction
  • Resend — Transactional email delivery
  • Cloudflare R2 — Object storage for proof-of-delivery photos and backups
  • Hetzner Cloud — Server and database hosting

Each sub-processor is bound by data processing agreements consistent with applicable privacy law. We will update this list as sub-processors change.

11. API Access

Account administrators may generate API keys to access RunSheet data programmatically. By using API keys, you agree to:

  • Keep API keys confidential and rotate them if compromised
  • Not share API keys with third parties beyond your authorized integrations
  • Use the API only to access data belonging to your own account
  • Not exceed reasonable rate limits or attempt to abuse the API infrastructure

We reserve the right to revoke API keys that are used in violation of these Terms or that place excessive load on our systems.

12. Webhooks and Third-Party Integrations

You may configure webhooks to receive real-time notifications from RunSheet at URLs you specify. By configuring webhooks, you acknowledge that RunSheet will transmit your operational data (including delivery records and client names) to the URLs you provide. You are solely responsible for the security and compliance of any systems that receive webhook payloads. RunSheet signs webhook payloads with HMAC-SHA256 when a signing secret is configured; you are responsible for verifying these signatures on your receiving systems.

13. Data Retention

Delivery history and proof-of-delivery photos are retained according to your subscription plan's history limit: 30 days for Starter, 90 days for Growth, and 365 days for Business plans. Audit log entries are retained for the duration of your account. Upon cancellation or account deletion, we will retain your data for 30 days before permanent deletion, during which you may export your records. We are not responsible for data loss after this period.

14. Intellectual Property

The Service, including its software, design, and content, is owned by RunSheet and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes. You may not copy, modify, reverse engineer, or create derivative works of the Service.

15. Termination

You may cancel your subscription at any time through the billing page. We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in conduct that harms other users or the Service. Upon termination, your right to access the Service ceases immediately, including access via API keys.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Route optimization suggestions are generated algorithmically. We make no guarantee that suggested routes are optimal, legal, or safe for all vehicle types or road conditions. You are solely responsible for ensuring your drivers follow applicable traffic laws.

Driver location data is provided on a best-effort basis and may be delayed or unavailable depending on device connectivity. Do not rely on location data for safety-critical decisions.

AI-powered features (such as proof-of-delivery photo analysis and driver note extraction) are provided on a best-effort basis and may produce inaccurate results. You are responsible for reviewing AI-generated content before relying on it.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUNSHEET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM.

18. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the Service at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

19. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved in the applicable courts of competent jurisdiction.
